Our contractual terms for successful collaboration
1. Scope
These General Terms and Conditions ("GTC") govern all contracts, deliveries, and other services of Iron Horse GmbH ("Iron Horse") to its clients ("Customers"). Deviating terms of the Customer only become part of the contract if and to the extent that Iron Horse explicitly acknowledges them in writing.
2. Services and Customer Obligations
The specific scope of services is defined in the quote or individual contract. The Customer is obligated to provide all information, documents, access, and decisions necessary for proper service delivery in a timely and complete manner.
3. Prices and Payment Terms
All prices are in Swiss Francs (CHF) plus statutory VAT and any third-party and ancillary costs. Invoices are payable within five (5) calendar days from the invoice date. In case of payment default, interest of 8% p.a. is due without reminder.
4. Confidentiality
Both parties commit to keeping all confidential information received in connection with the contract secret during the contract period and for five (5) years thereafter.
5. Intellectual Property
Unless otherwise agreed in writing, all rights to concepts, methods, software, documentation, and other work results remain with Iron Horse. After full payment, the Customer receives a non-exclusive, non-transferable license limited to Switzerland for the contractually intended use.
6. Warranty
Iron Horse provides its services with customary commercial care. The Customer must inspect delivered results immediately, but no later than five (5) calendar days after receipt, and report any defects in writing in detail.
7. Liability
Iron Horse's liability for direct damages is limited to intent and gross negligence and does not exceed the net contract value. Any liability for indirect damages, consequential damages, lost profits, data loss, business interruptions, or reputational damage is expressly excluded.
8. Applicable Law and Jurisdiction
These GTC and all contracts between Iron Horse and the Customer are exclusively governed by Swiss law, excluding conflict of laws and international agreements. The ordinary courts of the Canton of Solothurn have exclusive jurisdiction.
